3. Use License

Permission is granted to temporarily download one copy of the materials on Gambuddy's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Attempt to reverse engineer any software contained on the website
  • Remove any copyright or other proprietary notations from the materials

4. Service Terms

All projects will be defined in a separate service agreement that outlines:

4.2 Client Responsibilities

Clients are responsible for:

4.3 Intellectual Property

Unless otherwise specified in the service agreement:

  • Pre-existing intellectual property remains with its original owner
  • Work product created specifically for the client becomes the client's property upon full payment
  • Gambuddy retains rights to general methodologies, tools, and frameworks

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Invoices are due within 30 days of receipt
  • Late payments may incur interest charges
  • Services may be suspended for non-payment
  • All prices are exclusive of applicable taxes

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of business. This obligation survives termination of the service agreement.

7. Limitation of Liability

In no event shall Gambuddy, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

8. Warranty Disclaimer

The information on this website is provided on an "as is" basis. To the fullest extent permitted by law, this Company:

  • Excludes all representations and warranties relating to this website and its contents
  • Excludes all liability for damages arising out of or in connection with your use of this website

9. Indemnification

You agree to defend, indemnify, and hold harmless Gambuddy and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

10. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

11. Governing Law

These Terms shall be interpreted and governed by the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Entire Agreement

These Terms constitute the sole and entire agreement between you and Gambuddy regarding the website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, strikes, labor disputes, or any other cause which is beyond the reasonable control of such party.

17. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void.
